Terms of Service
1. Agreement
These draft Terms of Service (“Terms”) govern your access to and use of Quotra's website, applications, browser extension, and related services (collectively, the “Service”). By using the Service, you agree to these Terms. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization.
2. The Service
Quotra helps teams convert inbound client requests—often received by email—into quotes based on templates you upload. Features may include Gmail integration, AI-assisted field extraction, document generation, and workflow automation. We may modify or discontinue features with reasonable notice where practicable.
3. Accounts and eligibility
You must provide accurate registration information and keep your credentials secure. You are responsible for activity under your account. You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Service.
4. Your content and responsibilities
You retain ownership of templates, emails, quotes, and other content you submit (“Customer Content”). You grant us a limited license to host, process, and display Customer Content solely to provide and improve the Service. You are solely responsible for the accuracy of quotes, compliance with applicable laws, and obtaining any consents needed to process client data.
5. Acceptable use
You agree not to:
- Use the Service unlawfully or to send spam or malicious content;
- Attempt to gain unauthorized access to systems or other users' data;
- Reverse engineer or circumvent security or usage limits except where permitted by law;
- Upload content that infringes intellectual property or privacy rights of others.
6. Third-party services
The Service may integrate with third parties such as Google (Gmail) and hosting or AI providers. Your use of those services is subject to their terms and policies. We are not responsible for third-party services outside our control.
7. Fees
If we offer paid plans, fees and billing terms will be presented at purchase or in an order form. Unless otherwise stated, fees are non-refundable except where required by law.
8. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. AI-GENERATED OUTPUTS MAY CONTAIN ERRORS; YOU MUST REVIEW QUOTES BEFORE SENDING THEM TO CLIENTS.
9. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, QUOTRA AND ITS SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, DATA, OR GOODWILL. OUR TOTAL LIABILITY FOR CLAIMS ARISING OUT OF THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) AMOUNTS YOU PAID US IN THE TWELVE MONTHS BEFORE THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS (USD $100).
10. Indemnification
You will defend and indemnify Quotra against claims arising from your Customer Content, your use of the Service in violation of these Terms, or your violation of applicable law.
11. Termination
You may stop using the Service at any time. We may suspend or terminate access if you breach these Terms or if necessary to protect the Service or other users. Provisions that by their nature should survive termination will survive.
12. Governing law
These Terms are governed by the laws of the jurisdiction where Quotra is established, without regard to conflict-of-law rules, except where mandatory consumer protections apply in your country of residence.
13. Changes
We may update these draft Terms from time to time. Continued use after the effective date of changes constitutes acceptance of the revised Terms.
